Acceptance of Agreement
By accessing the Site, installing, or using the Optopro software (“Software”), you (“Licensee,” “User,” or “Customer”) agree to be bound by this End User License Agreement and Terms of Service (“Agreement”). If you do not agree, do not use the Site or Software.
Grant of License
Terabit Solutions Inc. (“Licensor”) grants Licensee a limited, non-exclusive, non-transferable, revocable license to use the Software solely for internal business purposes.
Restrictions: Licensee shall not copy, distribute, or modify the Software (except for backup), reverse engineer, decompile, or disassemble the Software, sublicense, rent, or resell the Software, or use the Software for unlawful purposes.
Intellectual Property
All intellectual property rights in the Site and Software are owned by Terabit Solutions Inc. or its licensors. Nothing in this Agreement transfers ownership.
Subscription, Fees, and Payment
Use of the Software requires a valid subscription. Fees are due in advance, non-cancellable, and non-refundable, except as expressly stated. Licensor may suspend service and charge interest on overdue accounts.
Free Trial
If you register for a trial, you may use the Software until the trial ends. After expiration, continued use requires purchase. Data may be deleted if no subscription is purchased.
Data & Privacy
Licensee retains ownership of its data. Licensee grants Licensor a limited license to process data solely for delivering the Software. Licensee is responsible for compliance with privacy laws (PHIPA, PIPEDA). Licensor uses safeguards but does not guarantee against breaches.
Support & Updates
Support is available via support@optopro.ca during business hours. Licensor may provide patches or updates at its discretion.
Disclaimer of Warranties
The Software and Site are provided “AS IS” without warranties. Licensor does not guarantee uninterrupted or error-free operation.
Limitation of Liability
Licensor shall not be liable for indirect, incidental, or consequential damages. Maximum liability shall not exceed the fees paid by Licensee in the preceding 12 months.
Indemnification
Licensee agrees to indemnify and hold harmless Terabit Solutions Inc. from claims arising from misuse of the Software or breach of this Agreement.
Term & Termination
This Agreement is effective until terminated. Licensor may suspend or terminate immediately for breach. Upon termination, rights end, and Licensee must delete all copies of the Software. No refunds unless required by law.
Website Use
Use of the Site is at your sole risk. Licensor is not responsible for third-party websites or content. By submitting content, you grant Licensor a license to use it in connection with services and marketing.
Refund & Cancellation Policy
Cancellations accepted only within 10 days if services have not begun. A 30-day money-back guarantee applies if Software fails per support guidelines and issue cannot be resolved. Refunds not available after setup/installation or for customization services.
Confidentiality
Licensee shall not disclose any proprietary or confidential information of Licensor.
Monitoring
Licensor may monitor Site content to ensure compliance and satisfy legal requirements.
Governing Law & Jurisdiction
This Agreement shall be governed by Ontario, Canada law. Courts in Ontario have exclusive jurisdiction.
Force Majeure
Neither party is liable for failure to perform obligations due to causes beyond reasonable control.
Miscellaneous
This Agreement is the entire agreement between you and Licensor. Licensor may update this Agreement. If any provision is invalid, remaining provisions remain effective. Licensee may not assign without consent.
Acknowledgement & Acceptance
By installing, accessing, or using the Optopro Software or Site, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
